POSITION DESCRIPTION:
The individual will be responsible for the following key areas: To manage agreements and legal issues for the company and its joint ventures. This will involve: Contracts: Negotiating, drafting and managing agreements pertaining to distribution/syndication/licensing/acquisition of content over various medium like satellite, television, mobile, internet, etc. in the international as well as India region, property related contracts. In-depth understanding of satellite and cable distribution technologies and new media in India as well as international region. Corporate: Conducting due diligence, reviewing share purchase agreement, joint venture agreement, advising on foreign investment laws and advising on international commercial law in conjunction with foreign law firms. Thorough understanding of corporate laws. Dispute Resolution: Strategizing the best course of action for litigation, arbitration or alternate dispute resolution pertaining to programming and related matters. Briefing counsels and conducting research on case laws. Maintaining records and MIS of litigation reporting the same to the parent company. Regulatory/Compliance: Liaison with regulatory bodies viz. MIB, TRAI, ASCI, ASA (UK), etc. and ensuring compliance with the regulations from time to time. Monitoring regulatory developments and pre-emptive steps in the best interest of the company. Obtaining licenses and permissions from various regulatory bodies and timely filing of information with the regulatory bodies. Ensuring compliance of all parent company business and compliance policies. Admin/HR Advisory: Advising the company on areas of employment & labour, production, property compliance, including various local and municipal regulations.
HIRING PROFILE:
Legally qualified professional with overall experience of 11-15 years. May come from a background of a law firm and corporate law. Experience in the broadcast entertainment space will be necessary. Most importantly, the individual must have a point of view about legal issues, and be able to present and express that clearly. Confident, composed and mature – with a keen desire to win. Ability to work under pressure, function independently and meet deadlines is a must. Excellent communication skills
